Website Terms and Conditions

These Website Terms and Conditions ("Terms") govern your access to and use of bbm.media, businessbasedmedia.com, and related forms, applications, scheduling pages, content, and online services operated by Business Based Media LLC ("Business Based Media," "we," "us," or "our") (collectively, the "Website").

By using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Website Scope

The Website provides information about Business Based Media, the Media Assembly Method, Business-Based Media services, and opportunities to apply for or discuss services.

These Terms govern the Website only. Paid services require a separate written client service agreement, statement of work, order form, or similar agreement. If a service agreement conflicts with these Terms regarding paid services, the service agreement controls.

2. Eligibility and Business Use

You must be at least 18 years old and legally capable of entering an agreement to use the Website. If you use the Website for a company or another organization, you represent that you have authority to act for it.

The Website is directed primarily to businesses, founders, experts, and professional teams.

3. Applications and Communications

You agree to provide accurate, current, and complete information in applications, forms, and communications.

Submitting an application, scheduling a call, or communicating with us does not:

  • Guarantee acceptance as a client.
  • Create a client, fiduciary, partnership, employment, or agency relationship.
  • Require either party to purchase or provide services.
  • Reserve capacity or establish pricing unless confirmed in a signed agreement.

We may accept, reject, pause, or stop evaluating any inquiry at our discretion, subject to applicable law.

4. Marketing and Electronic Communications

When you submit an inquiry or schedule a call, you authorize us to send communications reasonably related to that request, appointment, or potential service relationship.

Promotional email or text-message consent is requested separately where required. Marketing consent is not a condition of purchase. You may unsubscribe from promotional emails or reply STOP to promotional text messages.

Standard message and data rates may apply. Message frequency may vary. Mobile carriers are not responsible for delayed or undelivered messages.

5. Intellectual Property

The Website and its content, including text, frameworks, names, graphics, videos, designs, software, downloads, and branding, are owned by or licensed to Business Based Media and are protected by intellectual-property laws.

This includes, where protectable, the names Business-Based Media, Media Assembly Method, Oxy Matrix, associated training materials, and their original expression and presentation.

We grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for lawful personal or internal business evaluation. You may not reproduce, distribute, sell, license, scrape, train a model on, create derivative commercial materials from, or exploit Website content without written permission, except where applicable law expressly permits it.

No trademark license is granted.

6. Materials You Submit

You retain ownership of materials you submit through the Website.

You grant us a limited, worldwide license to host, copy, transmit, review, and use submitted materials as reasonably necessary to evaluate your application, respond to your request, protect the Website, and comply with law.

You represent that:

  • You have the right to submit the materials.
  • The materials and our permitted use of them do not violate another person's rights.
  • The materials do not contain unlawful, malicious, or misleading content.

Client content delivered after an engagement begins is governed by the separate client service agreement.

If you voluntarily provide general feedback or suggestions about the Website or our services, we may use them without restriction or compensation, provided we do not publicly identify you without permission.

7. Acceptable Use

You may not:

  • Violate any law or another person's rights.
  • Interfere with Website security, operation, or availability.
  • Introduce malware, harmful code, automated attacks, or unauthorized tracking.
  • Attempt to gain unauthorized access to systems, accounts, or data.
  • Scrape, harvest, or collect information through unauthorized automated means.
  • Impersonate another person or misrepresent your affiliation.
  • Use Website content to create a confusingly similar or competing commercial product.
  • Use the Website to distribute spam, deception, infringement, or unlawful material.

We may investigate suspected misuse and restrict access when reasonably necessary.

8. Third-Party Services

The Website may use or link to third-party services, including GoHighLevel, Google, Meta, Whop, Stripe infrastructure, QuickBooks, social platforms, and other providers.

Third-party services are governed by their own terms and policies. We are not responsible for third-party availability, content, security, or conduct to the extent permitted by law.

9. No Professional Advice

Website content is provided for general informational and marketing purposes. It is not legal, tax, accounting, investment, or other regulated professional advice. You should consult qualified advisers for decisions requiring that expertise.

10. Results Disclaimer

Examples, testimonials, case studies, views, impressions, content volumes, and other results are illustrative and do not guarantee that you will achieve the same or any particular outcome.

Content and business performance depend on factors outside our control, including source-material quality, audience, offer, market conditions, approvals, platform rules, algorithms, distribution, timing, and client participation.

Any production commitments, deliverables, timelines, remedies, or guarantees must appear in a signed client agreement to be binding.

11. Website Disclaimer

To the fullest extent permitted by law, the Website is provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement.

We do not warrant that the Website will always be accurate, complete, current, secure, uninterrupted, or error-free.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

12. Limitation of Liability

To the fullest extent permitted by law, Business Based Media and its owners, personnel, contractors, affiliates, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, or anticipated savings arising from Website use.

To the fullest extent permitted by law, our aggregate liability arising from the Website will not exceed the greater of:

  • The amount you paid us specifically for Website access during the 12 months before the event giving rise to the claim; or
  • One hundred United States dollars (US $100).

These limitations do not apply where liability cannot legally be limited or excluded.

13. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Business Based Media and its owners, personnel, contractors, and affiliates from third-party claims, liabilities, damages, judgments, and reasonable costs arising from your unlawful Website use, your submitted materials, or your violation of these Terms or another person's rights.

This section does not require indemnification for our own conduct where prohibited by law.

14. Suspension and Termination

We may suspend or terminate Website access if we reasonably believe you violated these Terms, created a security or legal risk, or misused the Website.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations, indemnification, and dispute provisions.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws principles.

Unless applicable law requires otherwise, disputes relating to the Website will be brought exclusively in the state or federal courts located in Tulsa County, Oklahoma, and each party consents to their jurisdiction.

Nothing in these Terms deprives a consumer of mandatory protections that cannot be waived under the law of the consumer's residence.

16. International Use

We operate the Website from the United States. You are responsible for complying with laws applicable to your location. We do not represent that Website content is appropriate or legally available in every country.

17. Changes to These Terms

We may update these Terms as the Website or our legal obligations change. The revised Terms will be posted with a new effective date. Material changes will receive additional notice where required.

Your continued use after updated Terms become effective constitutes acceptance where permitted by law.

18. Miscellaneous

These Terms and the Privacy Policy are the entire agreement concerning Website use, except where another written agreement applies.

If a provision is unenforceable, it will be modified only as much as necessary, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets.
